Terms of Service

The rules and conditions governing your use of TechSphere products and services.

1. Acceptance of Terms

By downloading, installing, accessing, or using any TechSphere application or website (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and TechSphere. We may update these Terms periodically; continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent that:

  • You are at least 18 years old
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using our Services under any applicable law
  • The information you provide is accurate and truthful

3. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Not share your account with others
  • Not create multiple accounts to circumvent restrictions

You are responsible for all activity that occurs under your account. TechSphere is not liable for losses resulting from unauthorized use of your account.

4. Acceptable Use

You agree to use our Services only for lawful purposes. You must NOT:

  • Violate any applicable laws or regulations
  • Impersonate any person or entity
  • Post false, misleading, or fraudulent information
  • Harass, threaten, or harm other users
  • Upload spam, malware, or malicious content
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble our applications
  • Use automated scripts or bots without our written consent
  • Violate the intellectual property rights of TechSphere or others
  • Engage in any activity that disrupts or interferes with our Services

5. OwoTrack — Specific Terms

OwoTrack is a business management tool. By using OwoTrack, you agree that:

  • You are responsible for the accuracy of financial data you enter
  • TechSphere is not a licensed financial advisor and OwoTrack is not financial advice
  • You are responsible for compliance with all applicable tax and financial regulations in your jurisdiction
  • Business data exported from OwoTrack for tax or legal purposes is your responsibility to verify
  • Invoice templates provided are for convenience only — you are responsible for their legal validity

6. HeartLink — Specific Terms

HeartLink is a social and dating platform. By using HeartLink, you agree to:

  • Only create profiles with your own genuine information and photos
  • Not solicit money, gifts, or personal financial information from other users
  • Not use HeartLink for commercial solicitation or advertising
  • Meet other users safely — in public places first
  • Report suspicious or abusive behavior immediately
  • Not share contact information (phone, address) until you are comfortable

TechSphere is not responsible for the conduct of users on HeartLink. We strongly advise exercising caution when meeting people online.

7. FixNG — Specific Terms

FixNG connects customers with independent artisans. By using FixNG:

  • Artisans are independent contractors, not employees of TechSphere
  • TechSphere does not guarantee the quality of work performed by artisans
  • Customers must inspect work before confirming completion and releasing payment
  • Disputes must be raised within 48 hours of job completion
  • Artisans are responsible for their own tools, insurance, and tax obligations
  • TechSphere's escrow service holds payment for verified job completion only

8. Subscription & Payments

Certain features require paid subscriptions:

  • Subscriptions are billed in advance on a monthly or annual basis
  • All payments are processed through secure third-party payment processors
  • Subscriptions auto-renew unless cancelled before the renewal date
  • Refunds are available within 7 days of initial subscription purchase if the service has not been significantly used
  • TechSphere reserves the right to change pricing with 30 days' notice
  • Failed payments may result in suspension of premium features

9. Intellectual Property

All content, features, and functionality of our Services — including text, graphics, logos, icons, source code, and design — are the exclusive property of TechSphere and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works without our express written permission.

User-generated content (your posts, photos, business data) remains your property. By submitting content, you grant TechSphere a limited, non-exclusive license to display and store your content solely for service delivery purposes.

10. Disclaimers & Limitation of Liability

Our Services are provided "as is" without warranties of any kind, express or implied. TechSphere does not warrant that:

  • Services will be uninterrupted, timely, or error-free
  • Results obtained will be accurate or reliable
  • Defects will be corrected

To the maximum extent permitted by law, TechSphere shall not be liable for indirect, incidental, special, or consequential damages arising from use of our Services, including loss of profits, data, or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless TechSphere and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

TechSphere may suspend or terminate your account at any time if you violate these Terms or engage in harmful behavior. You may delete your account at any time through app settings. Upon termination, your right to use our Services ceases immediately. Some provisions of these Terms survive termination.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration under Nigerian law if negotiation fails.

14. Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.
